These Terms of Service (the "Terms") govern your access to and use of the Bin & Box inventory and operations platform (the "Service") provided by [LEGAL ENTITY] ("Bin & Box", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("you").

1. The Service

Bin & Box provides inventory tracking, order management, forecasting, and related operational tools on a subscription basis. We may add, change, or remove features over time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

2. Accounts & eligibility

You are responsible for the accuracy of your account information, for maintaining the confidentiality of credentials, and for all activity under your account. You must be authorized to bind your organization. You are responsible for your users' compliance with these Terms.

You retain ownership of the data you submit ("Customer Data"). You grant us the limited rights needed to host, process, and display it to operate the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for having the rights and lawful basis to submit Customer Data.

5. Subscriptions & fees

Paid plans are billed in advance on a recurring basis at the price for your plan. Fees are non-refundable except where required by law. We may change pricing with reasonable notice, effective at your next renewal. Failure to pay may result in suspension of the Service.

6. Trials

Trial access is provided as-is and may be modified or ended at any time. At the end of a trial, continued use requires a paid subscription.

7. Confidentiality & security

We maintain administrative, technical, and physical safeguards designed to protect Customer Data. No method of transmission or storage is perfectly secure; we do not warrant absolute security.

8. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, you may export your data for a limited period, after which we may delete it in accordance with our retention practices.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Bin & Box is an operational tool and is not a substitute for your own regulatory, quality, or financial controls.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELFWISE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE [12] MONTHS PRECEDING THE CLAIM.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email; continued use after changes take effect constitutes acceptance.

12. Governing law
